These Terms & Conditions (“Terms”) govern your access to and use of the SophiCart website and any purchase from Photobattery Inc. (“SophiCart,” “we,” “us,” “our”), a company based in Toronto, Ontario, Canada. By visiting our site, creating an account, or placing an order, you agree to be bound by these Terms as well as our Privacy Policy, Return & Refunds Policy, and Delivery & Packaging page, each incorporated by reference. If you do not agree, do not use the site. We may update these Terms from time to time; the Effective Date will change accordingly.


1. Order Process & Acceptance
All orders are offers to purchase eco-friendly fashion accessories under these Terms. We reserve the right, at our sole discretion, to accept or reject any order prior to shipment for reasons including suspected fraud, pricing or description errors, inventory constraints, or compliance with applicable laws. If your payment method has already been charged and the order is cancelled, we will promptly refund the full amount to the original payment method. Orders may be subject to automated or manual verification, address checks, and quantity limits. We may contact you for additional verification; failure to respond may result in cancellation.


2. Products, Pricing & Promotions
We strive to display product information accurately; however, errors in pricing, descriptions, or content may occur and are not binding. We may correct errors or update information at any time, including after you place an order. Promotions and discount codes are time-limited, while supplies last, and may be withdrawn or modified without notice. Unless stated otherwise, offers are limited to one per customer and cannot be combined. We do not offer retroactive price adjustments. If an item becomes unavailable after purchase, we may cancel and refund or provide a functionally equivalent eco-friendly alternative.


3. Shipping, Delivery, Risk of Loss & Title
Published delivery windows are estimates based on carrier performance and origin warehouse; they are not guarantees. Orders may ship in multiple parcels from different facilities, including third-party fulfillment partners. Title and risk of loss transfer to you upon carrier acceptance (first tracking scan). Carrier scans can take 12–48 hours to update; this is normal. Delivery delays due to weather, customs, strikes, or peak seasons do not create liability. 4. Customs, Duties & Import Responsibilities
International shipments may be subject to import duties, VAT/GST, brokerage fees, and customs procedures. These charges are the recipient’s responsibility. Refusal to pay duties or failure to clear customs may result in return or abandonment of the parcel. In such cases, original shipping and any return costs billed to us will be deducted from any eligible refund. We do not control customs timelines; consult your local authority for applicable rates and reclaim processes.


5. Returns, Hygiene Restrictions & Warranties (Summary)
Returns are governed by our Return & Refunds Policy. For hygiene, safety, or compliance reasons, items that come into direct skin contact (such as earrings, bracelets, necklaces, or makeup brushes) are non-returnable unless defective on arrival and supported by timely evidence. Products must be returned in resalable condition with all original packaging, inserts, accessories, and any gifts-with-purchase. Missing or used components may result in deductions or denial. Some items may be covered by a manufacturer warranty, in which case remedies are provided under the manufacturer’s terms.


6. User Accounts, Eligibility, Acceptable Use & Termination
To make purchases, you may create an account. You must be the age of majority in your jurisdiction and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials. You agree not to misuse the site, interfere with security, scrape content without permission, or engage in fraudulent conduct. We may limit, suspend, or terminate accounts that violate policies or trigger excessive chargebacks. Termination does not relieve you of obligations incurred under these Terms.


7. Reviews, User Content & Intellectual Property
You may post reviews, photos, questions, and other content (“User Content”) regarding eco-friendly fashion accessories. By submitting content, you represent it is accurate, lawful, and non-infringing. You grant SophiCart a worldwide, royalty-free, perpetual license to use, reproduce, adapt, distribute, and display such content in any media for marketing and operational purposes. We may remove content that violates rights or our guidelines. All site materials—including text, graphics, logos, and product images—are the property of Photobattery Inc. or its licensors.


8. Third-Party Services, Plug-ins & External Links
Our store integrates third-party services such as payment processors, shipping platforms, analytics, marketing tools, and marketplace plug-ins. Each third party has its own terms and privacy practices. We are not responsible for their websites, content, security, or data handling. Use of social logins, external wallets, or courier apps is at your own risk. Integration failures or outages affecting third-party providers do not create liability.


9. Disclaimers; Limitation of Liability
Except as expressly stated, products and services are provided “as is” and “as available,” without warranties, express or implied. Our total aggregate liability arising from or related to any purchase or site use shall not exceed the amount you paid for the product(s) giving rise to the claim. We are not liable for indirect, incidental, special, punitive, exemplary, or consequential damages.


10. Force Majeure & Events Beyond Our Control
We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, fires, floods, public-health emergencies, labor disputes, supply-chain disruptions, cyberattacks, or government actions. During such events, obligations are suspended for the duration and reasonable recovery period. We will use reasonable efforts to mitigate impacts and resume operations. These events do not create liability or constitute a breach of Terms.


11. Governing Law, Dispute Resolution & Changes; Contact
These Terms are governed by the laws of Ontario, Canada, and federal laws applicable therein. Except where local law provides otherwise, disputes fall under the exclusive jurisdiction of Ontario courts. Before filing suit, contact customer-service@sophicart.com with “Dispute” in the subject line and allow up to 30 days for good-faith resolution.
